Before publication
This is a working draft. The legal operator, effective date, subscription and refund rules, governing law, and any liability limits must be confirmed against Skultem's actual business arrangements before these terms are published as binding conditions.
Agreement to These Terms
Welcome to Skultem, a school management platform designed to help schools manage academic activities, attendance, school personnel, communication and financial records.
These Terms of Service explain the conditions governing access to and use of the Skultem website and platform. By accessing or using the service, you agree to these Terms to the extent permitted by applicable law.
If you use Skultem on behalf of a school or organization, you represent that you are authorized to act on its behalf. References to “you” may mean an individual user or the organization using the service, depending on the context.
If you do not agree to these Terms, you should not use the service.
Definitions
- “Skultem”, “we”, “us” or “our” means the entity legally responsible for operating the Skultem service.
- “School” means an educational institution using Skultem.
- “User” means a person authorized to access or use Skultem.
- “School Data” means information submitted to or maintained through Skultem on behalf of a school.
- “Personal Information” means information relating to an identified or identifiable individual.
- “Platform” means the Skultem website, applications and related services made available to users.
Eligibility and Authority
Users must have the authority and legal capacity required to use the service. Where an individual accesses Skultem for a school, the school is responsible for ensuring that the individual is appropriately authorized.
Users must provide accurate information when creating or maintaining an account and must update information when it becomes inaccurate or outdated.
Access to student records must be consistent with the user’s responsibilities, the school’s authorization and applicable law.
Accounts and Access Security
Each user is responsible for maintaining the security of their account and using Skultem only within their assigned permissions.
Schools are responsible for assigning appropriate roles, reviewing access permissions and removing access when a person no longer needs it. Skultem may take reasonable steps to protect accounts and investigate suspected misuse.
- Keep login credentials confidential and do not share accounts unless an expressly authorized arrangement permits it.
- Use strong passwords and any additional authentication protections made available.
- Do not attempt to access another user’s account or information without authorization.
- Notify the school administrator or Skultem promptly if you suspect unauthorized access or compromised credentials.
- Log out of shared devices when your session is complete.
- Provide accurate account information and cooperate with reasonable account-security checks.
User Roles and Permissions
Skultem supports five primary roles. The features and records available to a user depend on the permissions implemented and assigned by the school.
Schools must ensure that roles and permissions reflect actual job responsibilities. Role descriptions do not grant access beyond the permissions available within the platform.
Parent
May access the student information and school communications authorized for their account.
Teacher
May manage assigned classroom, academic, attendance and related educational records within the permissions granted.
Admin
May manage authorized school operations, users and records according to their assigned administrative permissions.
Accountant
May access and manage permitted financial records and accounting functions.
Proprietor
May access authorized school management information and reports.
School Responsibilities
Schools using Skultem remain responsible for their educational operations and for the information they submit to the platform.
Skultem provides software tools to support school administration. Unless a separate written agreement states otherwise, schools remain responsible for their own policies, decisions, educational assessments, financial administration and legal obligations.
- Ensure that information entered into Skultem is accurate, relevant and appropriately maintained.
- Have a lawful basis and any necessary authorizations for collecting and using student, parent and staff information.
- Provide any notices or obtain any consents required by applicable law.
- Assign appropriate user roles and review permissions regularly.
- Use school records only for authorized educational, administrative and related purposes.
- Maintain any records or backups required independently of Skultem.
- Ensure staff and other users understand their responsibilities when handling personal information.
- Notify Skultem of material account-security concerns and relevant operational issues.
Student Information and Privacy
Schools may use Skultem to manage student profiles, attendance, grades, report cards, behaviour records and other school information supported by the platform.
Schools must ensure that they are authorized to provide and use this information. Users must access student records only for legitimate purposes permitted by their roles and applicable law.
Because student information often concerns children, users must take particular care to protect confidentiality and avoid unnecessary disclosure.
The collection, use, sharing, retention and deletion of personal information are also governed by the Skultem Privacy Policy and any applicable school agreement.
Access requests and corrections
Requests concerning student records should normally be directed to the relevant school. Skultem may assist the school or handle a request where appropriate under the applicable agreement and law.
Sensitive information
Users should not submit unnecessary sensitive or confidential information to the platform. Where such information is required for a legitimate school purpose, the school must ensure that its collection and use are properly authorized and protected.
Acceptable Use
You agree to use Skultem lawfully, responsibly and in a way that does not compromise other users or the service.
We may investigate suspected violations and take proportionate action where reasonably necessary to protect the platform, schools, individuals or legal rights.
- Do not use Skultem to violate applicable laws or another person’s rights.
- Do not access, modify, disclose or delete records without authorization.
- Do not upload malicious software or attempt to compromise platform security.
- Do not interfere with platform availability, integrity or performance.
- Do not impersonate another person or misrepresent your authority.
- Do not use the platform to distribute unlawful, fraudulent, abusive or harmful content.
- Do not reverse engineer, copy or exploit the platform except where permitted by law or expressly authorized.
- Do not misuse school records, credentials, contact information or financial information.
Fees and Payments
Any subscription charges, implementation fees, service fees or other commercial terms applicable to a school will be communicated through the relevant pricing information, order, invoice or written agreement.
Schools are responsible for reviewing their agreed fees, payment deadlines and applicable charges before purchasing or renewing a service.
Skultem may provide tools for recording school fees, payments, transactions, expenses and financial reports. A record entered into the platform does not, by itself, prove that funds have been transferred or received.
Where an online payment integration is available and used, the transaction may also be subject to the payment provider’s terms, fees, processing rules and privacy policy.
Payment processing
The available payment methods, processing arrangements, transaction fees, refunds and settlement procedures depend on the services actually enabled and the applicable agreement. Please confirm these details with us before entering into a paid arrangement.
Refunds and billing disputes
Any refund, cancellation or billing-dispute rights will be governed by the relevant written agreement and applicable law. Contact Skultem about charges you believe are incorrect.
Intellectual Property
Skultem and its applicable licensors retain their rights in the platform, including its software, design, branding, logos, documentation and original content, subject to applicable law and any separate agreement.
Except as permitted by law or expressly authorized in writing, you may not copy, distribute, sell, sublicense, modify or commercially exploit protected parts of the platform.
Subject to these Terms, applicable agreements and payment of any required fees, Skultem grants authorized users permission to access and use the platform for its intended school-management purposes.
School Data ownership
As between Skultem and the school, the school retains its rights in School Data that it lawfully provides, subject to third-party rights and applicable law. The school authorizes Skultem to host, process, transmit and otherwise use that data as reasonably necessary to provide and protect the service, comply with legal obligations and perform the relevant agreement.
Feedback
If you provide suggestions or feedback, Skultem may use them to improve its services, subject to applicable law and without disclosing confidential information or personal information improperly.
Service Availability and Changes
We aim to provide a useful and reliable service, but uninterrupted availability cannot be guaranteed. Access may be affected by maintenance, connectivity issues, technical failures, third-party services, security incidents or circumstances beyond our reasonable control.
Features may be updated, improved, replaced or discontinued as the platform develops. Where reasonably practicable, we will provide notice of material changes that significantly affect an existing service.
Schools should maintain appropriate operational continuity arrangements for critical activities and should not rely exclusively on uninterrupted access to the platform for emergency operations.
Any service-level commitments, uptime targets or support response times apply only if expressly included in a separate agreement.
Support and Onboarding
Support, training, onboarding and implementation services may be provided according to the school’s plan or separate agreement.
Schools should provide accurate information about reported issues and avoid sharing passwords or unnecessary personal information in support requests.
Support availability, response times and any additional charges will depend on the arrangements communicated by Skultem. No specific response time applies unless it has been expressly agreed.
Third-Party Services
Skultem may rely on third-party infrastructure, communications, payment or other services to provide particular features.
Third-party services may be subject to their own terms, availability conditions and privacy policies. Where a school uses an integrated third-party service, it must comply with the applicable terms and authorization requirements.
Skultem is not responsible for independent third-party services to the extent that their operation is outside our reasonable control, subject to applicable law and any obligations we have expressly accepted.
Suspension and Termination
A school or user may stop using Skultem subject to any applicable subscription terms, written agreement and legal obligations.
Where reasonably necessary, Skultem may suspend or restrict access to protect the platform, investigate suspected abuse, address a security risk, comply with law or respond to a material breach of these Terms.
Where practicable and appropriate, we will provide notice and an opportunity to address the issue before taking material action, unless immediate action is reasonably necessary for security, legal or operational reasons.
Effects of termination
Upon termination, user access may end and any outstanding contractual obligations may remain enforceable. The handling, export, retention and deletion of School Data will be governed by the applicable agreement, Privacy Policy and law.
School data access
Before ending a service, schools should arrange for the export or preservation of records they need. Export options and timing depend on the platform features and your agreement, so please contact us well before ending your service to arrange it.
Continuing provisions
Provisions that by their nature should continue after termination, including intellectual property, outstanding payment obligations, applicable liability provisions and dispute-related terms, may continue to apply as permitted by law.
Disclaimers
To the extent permitted by applicable law, Skultem is provided according to the features and service arrangements made available to the user or school.
Skultem provides administrative tools; it does not independently verify every record entered by users and does not guarantee the accuracy, completeness or suitability of information supplied by a school.
Schools remain responsible for reviewing records, confirming financial entries, checking academic results and making appropriate educational and administrative decisions.
Nothing in these Terms excludes a guarantee, duty or right that cannot lawfully be excluded or limited.
Limitation of Liability
To the extent permitted by applicable law, each party is responsible for its own obligations, actions and failures under these Terms and any applicable agreement.
Subject to any rights or liabilities that cannot lawfully be excluded or limited, Skultem is not responsible for losses arising solely from inaccurate information entered by users, unauthorized actions by a school’s users, failures of independent third-party services or interruptions outside our reasonable control.
Nothing in this section excludes or limits liability where such exclusion or limitation is prohibited by applicable law. Any liability cap, indemnity or other allocation of risk applies only if it is set out in a written agreement with your school.
Responsibility for Claims
Each party must comply with applicable law and its contractual obligations. A party whose unlawful conduct, breach or negligence causes a claim may be responsible to the extent provided by applicable law and any enforceable agreement.
Specific indemnity obligations and procedures for third-party claims apply only where they are agreed in writing.
Privacy and Data Protection
Your use of Skultem is also subject to our Privacy Policy, which explains how personal information is handled.
Schools and users must ensure that their use of the platform complies with applicable privacy, data-protection and confidentiality obligations.
Where a separate data-processing or school services agreement applies, that agreement may provide additional terms governing School Data and will be interpreted alongside these Terms as specified in the agreement.
Changes to These Terms
We may update these Terms to reflect changes to the platform, our services, operational practices or applicable legal requirements.
The updated version will be published on the Skultem website with a revised “last updated” date. Where required, we will provide notice or obtain any necessary agreement before changes take effect.
If a change materially affects a school’s existing contractual arrangement, the applicable agreement and law will determine the appropriate process.
Governing Law and Disputes
These Terms are interpreted in accordance with applicable law and any written agreement between Skultem and the school.
Unless a written agreement with your school specifies a different governing law or jurisdiction, these Terms are governed by the laws that apply to the Skultem service and the school using it, without limiting any mandatory consumer or data-protection rights you have where you live.
If a dispute arises, the parties agree to first try to resolve it through good-faith discussion by contacting [email protected], without limiting any rights or remedies available under applicable law.
General Provisions
Entire agreement
These Terms, together with the Privacy Policy and any applicable written service agreement, describe the relevant arrangements for use of Skultem. A separate agreement may supplement or override these Terms where it expressly provides for that result.
Severability
If a provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
No waiver
A failure to enforce a provision immediately does not necessarily waive the right to enforce it later.
Assignment
Neither party may transfer its contractual rights or obligations except as permitted by the applicable agreement and law.
Electronic communications
Where permitted by law, service notices and other communications may be provided electronically through the platform, email or another agreed channel.
